Keystone Campus Stories: Terms & Conditions
The Keystone Campus Stories Service (the “Campus Stories Service”) gives you as a customer (the “Customer”) access to the video services which are described in more detail in Section 1 below. The Campus Stories Service is subject to these Keystone Campus Stories Terms & Conditions (the “Specific Terms”) as well as the Keystone’s Terms and Conditions available at www.keg.com/legal (the “General Terms”).
For clarity, the Campus Stories Service is part of the “Services” as defined in the General Terms. By ordering the Campus Stories Service, the Customer agrees to be bound by both the Specific Terms and the General Terms.
All defined terms shall have the meaning defined below or in the General Terms. In the event of conflict or inconsistency between the Specific Terms and the General Terms, the Specific Terms shall prevail.
1. Services Provided
Provided that Keystone has received full payment from the Customer, the Customer will receive the following as part of the Campus Stories Services:
- All raw footage from one day of filming with a videographer
- One edited long-form video (3–10 minutes)
- One edited short-form video for social media
- Up to two rounds of revisions on the edited videos after delivery of the first draft, free of charge
2. Revisions and Delivery
The Customer is entitled to up to two (2) rounds of revisions on the edited videos, free of charge. Delivery timelines, including timelines for revisions, will be agreed in writing between the parties. Timelines will be extended if delayed by Customer feedback, approvals, or provision of required materials.
3. Rights to Footage and Videos
3.1 Subject to Section 3.2 to 3.4 below, the Customer shall receive an exclusive, worldwide, perpetual, non-transferrable, non-sub-licensable license to use and edit the videos and raw footage described in Section 1 above (the “Deliverables”) and to create derivative works of such Deliverables for any lawful purpose related to its business activities.
3.2 With respect to any music which is part of the Deliverables, the Customer shall receive a non-exclusive, non-transferrable, non-sublicensable, worldwide, perpetual license to use such music solely in connection with the edited long form and short form videos, in the original form in which they were delivered to Customer from Keystone. For the avoidance of doubt, the Customer is not allowed to use such music in standalone form or as part of other works, derivatives of the Deliverables or other material created by or on behalf the Customer by a third party. With respect to any non-university footage (e.g. city, landscape and general environment shots), the Customer shall receive a non-exclusive, non-transferrable, non-sublicensable, worldwide, perpetual license to use such non-university footage for any lawful business activities without limitations from Keystone.
3.3 Keystone and the third party videographer contracted by Keystone to produce the Deliverables, shall each have the right, free of charge, perpetually and worldwide, to use and edit the Deliverables and to create derivative works thereof, for the purpose of delivering the Campus Stories Service to Customer and for any internal business and portfolio/sales purposes, but shall not have the right to otherwise sell, license or redistribute the it.
3.4 The third party videographer shall have the right, free of charge, perpetually and worldwide, to use and edit the non-university footage and to create derivative works thereof, for any lawful business activity.
4. Payment
4.1 In consideration of the services provided under these Specific Terms, the Customer shall pay to Keystone an advance fee as specified in the Order Confirmation. The payment terms set forth in the General Terms shall apply.
5. Other Terms
5.1 Raw footage will be delivered as-is and as further described in the General Terms, including but not limited to section 9 therein.
5.2 The Customer is responsible for obtaining all necessary consents and permissions for filmed participants, venues, and content (but excluding any non-university content), required by law or otherwise, in order to allow for use of the Deliverables as described herein.
5.3 The Customer shall indemnify, defend, and hold harmless Keystone, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to the Customer’s use of the Deliverables in a manner not expressly permitted by this Agreement or in violation of applicable laws, or failure to comply with section 5.2 above.
